1. Acceptance of Terms

By accessing or using the Module Builder website (the "Site") or purchasing and using the Module Builder software (the "Software"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, you may not access or use the Site or Software.

These Terms constitute a legally binding agreement between you and Perfex Module Builder ("we," "us," or "our"). By using our services, you represent that you have the legal capacity to enter into this agreement.

2. Definitions

• "Software" means Module Builder for PerfexCRM, including all code, documentation, and associated files.
• "Site" means the website located at perfex-module-builder.co.za and all related subdomains.
• "PerfexCRM" means the customer relationship management platform developed by Perfex.
• "Generated Modules" means the modules, code, and files created using the Software.
• "License" means the license granted to you to use the Software as described in our License Agreement.
• "User" or "You" means any individual or entity using the Site or Software.

3. Eligibility

To use the Software, you must:

• Be at least 18 years of age or have parental consent
• Have a valid, licensed installation of PerfexCRM (version 2.9.0 or higher)
• Provide accurate and complete registration information
• Not be located in a country subject to trade restrictions

4. Purchases & Payments

All purchases of the Software are final, subject to our Refund Policy. By purchasing a license, you agree to:

• Pay the applicable fees as listed on the Site
• Provide accurate and complete payment information
• Authorize us to charge your payment method for the total amount
• Pay any applicable taxes associated with your purchase

5. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable license to use the Software as described in our License Agreement. Your use of the Software is subject to the terms of that agreement, which is incorporated into these Terms by reference.

You may not sublicense, resell, or distribute the Software itself to third parties. Agency license holders may use the Software to build modules for clients but may not transfer ownership of the Software.

6. User Obligations

You agree to:

• Maintain the security of your license key and account credentials
• Use the Software in compliance with all applicable laws and regulations
• Ensure your PerfexCRM installation meets the minimum system requirements
• Keep your contact information up to date to receive important notices
• Use the Software only for lawful purposes

7. Prohibited Activities

• Unauthorized Distribution: You may not share, sell, or distribute the Software or license keys to unauthorized parties.
• Reverse Engineering: You may not reverse engineer, decompile, or disassemble the Software (except as permitted by law).
• Competitive Use: You may not use the Software to create a competing product or service.
• Harmful Use: You may not use the Software to transmit malware, spam, or other harmful content.
• Circumvention: You may not attempt to circumvent any license restrictions or security features.

8. Intellectual Property

The Software, Site, and all associated content, including but not limited to code, design, graphics, logos, and documentation, are the exclusive property of Perfex Module Builder and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, or create derivative works of the Software except as expressly permitted by the License Agreement. All rights not expressly granted are reserved.

9. Generated Code

You retain full ownership of the modules and code generated by the Software. We claim no intellectual property rights over the modules you create. However, the generated code may contain references or dependencies that are subject to their own licenses.

You are solely responsible for the functionality, content, and compliance of the modules you create. We are not liable for any issues arising from the use of generated modules.

10. Refund Policy

Refunds are governed by our Refund Policy. By purchasing the Software, you acknowledge that:

• Refunds are generally not provided for change of mind
• Refunds may be issued if the Software fails to perform as documented, with proof required
• Refund requests must be submitted within 30 days of purchase
• We reserve the right to deny refunds if we determine the request is fraudulent or abusive

11. Support & Updates

Support: Technical support is provided via email during the support period included with your license. We aim to respond within 24-48 hours on business days. Support is limited to installation assistance, bug reports, and usage questions. We do not provide custom development services.

Updates: Your license includes free updates for one year from purchase. Updates include bug fixes, security patches, and new features as released. After the first year, you may renew your updates subscription.

12. Disclaimers

THE SOFTWARE AND SITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE UNINTERRUPTED, OR BE ERROR-FREE.

WE ARE NOT RESPONSIBLE FOR ANY ISSUES ARISING FROM:

• Modifications made to generated code
• Conflicts with other PerfexCRM modules or custom code
• Server configuration or hosting issues
• Third-party software or services
• Data loss or corruption resulting from use of the Software

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SOFTWARE OR SITE.

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY, SO THIS LIMITATION MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Perfex Module Builder and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising from:

• Your use of the Software or Site
• Your violation of these Terms
• Your violation of any third-party rights
• Any modules or content you create using the Software

15. Termination

We may terminate or suspend your access to the Software and Site immediately, without prior notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Request by law enforcement or government agency

Upon termination, your license rights will cease, and you must uninstall and destroy all copies of the Software in your possession. Termination does not affect your ownership of modules already generated.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Software or Site after any changes constitutes acceptance of the modified Terms.

For material changes, we will make reasonable efforts to notify users via email or a prominent notice on the Site. We encourage you to review these Terms periodically.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the courts of South Africa.

You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claims or disputes.
