License Agreement

1. Definitions

• "Software" refers to Module Builder for PerfexCRM, including all source code, documentation, templates, and associated files.
• "Licensee" or "You" refers to the individual or entity that has purchased a license to use the Software.
• "Licensor" refers to Perfex Module Builder (the owner of the Software).
• "PerfexCRM" refers to the customer relationship management platform developed by Perfex.
• "Generated Modules" refers to the code and files created by the Software.
• "Single Installation" means one active instance of the Software running on one domain or server.
• "End User" refers to your clients or customers who interact with the Generated Modules.

2. Grant of License

Upon purchase and payment of the applicable license fee, Licensor grants You a non-exclusive, non-transferable (except as provided herein) license to use the Software for the number of installations specified in your purchase.

4. Permitted Uses

• Internal Use: Use the Software to create modules for your own business needs.
• Client Projects: Use the Software to create modules for your clients (Agency License required).
• Unlimited Modules: Generate an unlimited number of custom modules.
• Client Portal: Expose generated modules to your clients via PerfexCRM client portal.
• Customization: Modify the generated module code to suit your specific needs.
• Backup: Create backup copies of the Software for archival purposes.

5. Prohibited Uses

• No Redistribution: You may not redistribute, resell, or sublicense the Software itself (the Module Builder tool) to third parties. Agency License holders may use the Software to build modules for clients but cannot transfer ownership of the Software itself.
• No Unauthorized Sharing: You may not share your license key or login credentials with unauthorized users.
• No Removal of Copyright: You may not remove or alter any copyright notices or proprietary markings within the Software.
• No Reverse Engineering: Some of the code is encrypted/obfuscated to protect our intellectual property. You may not reverse engineer, decompile, or disassemble the Software (except as permitted by applicable law).
• No Competitive Product: You may not use the Software to create a competing product or service that replicates the functionality of Module Builder.
• No Illegal Use: You may not use the Software for any unlawful purpose or in violation of any applicable laws.

6. Ownership & Intellectual Property

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not transfer any ownership rights to You.

All trademarks, service marks, and trade names appearing in the Software are the property of their respective owners.

7. Generated Code Ownership

You own the code generated by Module Builder. The modules you create using the Software are considered your work product. You may:

• Use generated modules for any lawful purpose
• Modify, extend, or customize generated code
• Distribute or sell generated modules to your clients (Agency License required for commercial distribution)
• Include generated modules in products or services you offer

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

Exception: If the Software fails to perform as described in our official documentation, you may be eligible for a refund as outlined in our Refund Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF THE SOFTWARE.

LICENSOR'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.

10. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if You fail to comply with any term or condition. Upon termination, You must cease all use of the Software and destroy all copies in your possession.

Termination does not affect your ownership of modules already generated with the Software. You may continue to use previously generated modules indefinitely.

11. Updates & Support

Updates: Your license includes free updates for one year from the purchase date. Updates include bug fixes, security patches, and new features as they are released. After the first year, you may renew your updates subscription at 50% of the original license price.

Support: Technical support is provided via email during the support period. We aim to respond within 24-48 hours on business days. Support includes assistance with installation, troubleshooting, and questions about using the Software. Support does not include custom development or modification of generated code.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in South Africa.
